These Terms of Use (the “Terms”) govern your access to and use of this website (the “Site”), operated by TOTW Hospitality, Inc., doing business as Top of the World Hospitality (“TOTW,” “we,” “us” or “our”). By accessing or using the Site, you agree to these Terms. If you do not agree, please do not use the Site.

Informational Purposes Only

The Site provides general information about TOTW and its hospitality investment and advisory activities. It is provided for informational purposes only and is not intended to be relied on for any investment, business, legal, tax or accounting decision. Your use of the Site is also subject to our Disclaimer, which is incorporated into these Terms.

Limited Right to Use

We grant you a limited, revocable, non-exclusive and non-transferable right to access and use the Site for informational purposes in accordance with these Terms. We may suspend or end your access at any time, for any reason and without notice. The provisions of these Terms that by their nature should survive will survive any termination of your right to use the Site.

No Offer or Solicitation

Nothing on the Site constitutes an offer to sell, or a solicitation of an offer to buy, any security, fund interest or other investment, and nothing on the Site should be read as a recommendation of any investment or strategy. Any such offer will be made only through definitive offering or engagement documents, to eligible persons, and in compliance with applicable law.

Any reference on the Site or in related materials to past experience, transactions or results is provided for illustrative purposes only. Past performance is not indicative of future results, and there can be no assurance that any investment or strategy will achieve comparable outcomes. No Professional Relationship

Using the Site, or contacting TOTW through it, does not create an advisory, fiduciary, agency, brokerage, attorney–client or other professional relationship. Any engagement of TOTW requires a written agreement signed by TOTW. Until then, please do not send us confidential information, and any information you send is not subject to any duty of confidentiality unless we have agreed otherwise in writing.

Unsolicited Submissions

Sending us ideas, proposals, investment opportunities or other materials without a signed written agreement in place does not create a confidential, fiduciary, advisory or other relationship between you and TOTW. TOTW has no obligation to review, pursue or compensate you for an unsolicited submission, except as expressly agreed in writing or as required by applicable law. TOTW may already be considering, or may independently develop or receive from others, ideas and opportunities similar to those you submit, and receiving your submission does not restrict TOTW from pursuing them. This does not limit our commitments in the Privacy Policy regarding your personal information.

Intellectual Property

The Site and its contents, including text, photographs, graphics, design and layout, and the names TOTW, TOTW Hospitality and Top of the World Hospitality and related logos, are owned by or licensed to TOTW and are protected by copyright, trademark and other laws. Except as allowed below, you may not copy, reproduce, modify, distribute, display, republish or create derivative works from any part of the Site without our prior written consent.

Permitted Use

You may view the Site and print or download reasonable portions of it for your own personal or internal business reference, provided you keep all copyright and other notices intact and do not modify the content.

Prohibited Conduct

You agree not to:

  • use the Site for any unlawful, fraudulent or misleading purpose;
  • attempt to gain unauthorized access to the Site, its servers or any related systems;
  • interfere with or disrupt the operation or security of the Site, including by introducing malicious code;
  • scrape, harvest or collect information from the Site by automated means without our written permission; or
  • use the TOTW name or marks, or suggest an affiliation with or endorsement by TOTW, without our written permission.

The Site may link to websites operated by third parties, such as LinkedIn. These links are provided for convenience only. We do not control and are not responsible for third-party websites, their content or their practices, and a link does not imply our endorsement.

Social Media

TOTW may maintain a presence on social media platforms such as LinkedIn. Content posted there is for informational purposes only and is subject to these Terms and our Disclaimer. TOTW is not responsible for content posted by third parties on those platforms, and a “like,” share or comment does not constitute an endorsement.

Disclaimer of Warranties

THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE, OR THAT ITS CONTENT IS ACCURATE, COMPLETE OR CURRENT.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, TOTW AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR INABILITY TO USE, THE SITE OR ITS CONTENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100).

Indemnification

You agree to indemnify and hold harmless TOTW and its officers, directors, employees, affiliates and agents from any claims, losses, liabilities, damages and expenses, including reasonable attorneys’ fees, arising out of your violation of these Terms or your misuse of the Site.

Injunctive Relief

You acknowledge that a violation of these Terms, including any unauthorized use of our intellectual property, may cause TOTW irreparable harm for which monetary damages would be inadequate. TOTW may therefore seek injunctive or other equitable relief, to the extent permitted by applicable law and, where permitted, without posting a bond, in addition to any other remedies available at law, and may recover its reasonable attorneys’ fees and costs.

Governing Law and Venue

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. You agree that any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Miami-Dade County, Florida, and you consent to the personal jurisdiction of those courts.

Other Agreements

If you have entered into a separate written agreement with TOTW, the terms of that agreement will control to the extent they conflict with these Terms.

International Use

The Site is operated from the United States. We make no representation that the Site is appropriate or available for use in other locations. If you access the Site from outside the United States, you do so on your own initiative and are responsible for compliance with local laws.

Changes to These Terms

We may revise these Terms at any time by updating this page and the “Last updated” date above. Your continued use of the Site after changes are posted means you accept the revised Terms.

General

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect. Our failure to enforce any provision is not a waiver of our right to do so later. These Terms, together with our Privacy Policy and Disclaimer, are the entire agreement between you and TOTW regarding the Site.
